Senior Corporate Counsel M&A
Caterpillar is seeking a Senior Corporate Counsel, M&A to lead complex domestic and cross-border transactions in a global manufacturing environment. In this role, you will partner closely with executives and business leaders to structure, negotiate, and execute acquisitions, divestitures, joint ventures, and strategic investments that support Caterpillar's growth strategy. You will manage full deal lifecycles, including legal due diligence, drafting and negotiating definitive agreements, coordinating outside counsel, and ensuring compliance with corporate, securities, antitrust, and regulatory requirements. You will also support post-closing integration, develop M&A best practices and templates, and contribute to broader corporate governance initiatives. Responsibilities
- Lead and negotiate domestic and cross-border M&A, joint ventures, and strategic investments for Caterpillar
- Draft, review, and negotiate stock purchase, asset purchase, merger, and ancillary transaction documents
- Advise executives and business leaders on deal structures, risk allocation, and transaction strategy
- Manage and coordinate external counsel, advisors, and internal stakeholders across global functions
- Oversee legal due diligence and synthesize findings into clear risk assessments and recommendations
- Ensure compliance with securities, antitrust, corporate, and regulatory requirements in relevant jurisdictions
- Support post-closing integration, earn-outs, and dispute resolution related to M&A transactions
- Develop and refine M&A playbooks, templates, and best practices to improve deal execution
- Provide training and guidance to internal teams on M&A processes and legal issues
- Contribute to broader corporate governance and strategic corporate projects as needed
